Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 28, 2020, Ms. Laura M. Beres was appointed a member of the Board of Directors (the “Board”) of Nanophase Technologies Corporation (the “Company”).  The Board is pleased that Ms. Beres has agreed to join and believes her contribution will be beneficial to the Company’s shareholders and stakeholders.
