Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective November 9, 2020, Twin River Worldwide Holdings, Inc. (the “Company”) amended its Amended and Restated Certificate of Incorporation to change its name to “Bally’s Corporation.” A copy of the amendment is attached hereto as Exhibit 3.1 and is incorporated herein by reference.

Item 7.01 Regulation FD Disclosure.

On October 28, 2020, the Company issued a press release announcing the name change. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The information included in Item 7.01 of this Current Report on Form 8-K, including Exhibit 99.1, is being furnished pursuant to Item 7.01 of Form 8-K and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, or otherwise subject to liabilities of that section.

Item 8.01 Other Events.

On October 28, 2020, the Company announced that it would be changing its corporate name to Bally's Corporation, effective as of 12:01 am on November 9, 2020, and would be rebranding its operations under the Bally’s name. The New York Stock Exchange ticker symbol for the Company’s shares of common stock will change from “TRWH” to “BALY” at the opening of trading on November 9, 2020.
