Item 5.03

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Amendment and Restatement of Certificate of Incorporation

On October 20, 2020, an amended and restated certificate of incorporation (the “Restated Certificate”) of Aligos Therapeutics, Inc. (the “Company”) became effective with the Secretary of State of the State of Delaware in connection with the closing of the Company’s initial public offering of shares of its common stock (the “IPO”). The Company’s board of directors and stockholders previously approved the Restated Certificate on October 8, 2020, to be effective immediately prior to the closing of the IPO. A description of certain provisions of the Restated Certificate is set forth in the section entitled “Description of capital stock” of the Company’s Prospectus (the “Prospectus”) filed with the Securities and Exchange Commission on October 19, 2020 pursuant to Rule 424(b) under the Securities Act of 1933, as amended, relating to the Registration Statement on Form S-1, as amended (Registration No. 333-249077).

Amendment and Restatement of Bylaws

Effective as of October 20, 2020, the Company adopted amended and restated bylaws (the “Restated Bylaws”) in connection with the closing of the IPO. The Company’s board of directors and stockholders previously approved the Restated Bylaws on October 8, 2020, to be effective immediately prior to the closing of the IPO. A description of certain provisions of the Restated Bylaws is set forth in the section of the Prospectus entitled “Description of capital stock.”

The foregoing descriptions of the Restated Certificate and the Restated Bylaws are qualified in their entirety by reference to the full text of the Restated Certificate and the Restated Bylaws, which are filed as Exhibits 3.1 and 3.2, respectively, hereto and are incorporated by reference herein.

 

Item 8.01

Other Events.

On October 20, 2020, the Company closed its IPO of 10,000,000 shares of its common stock, par value $0.0001 per share, at an IPO price to the public of $15.00 per share. The gross proceeds to the Company from the IPO were $150.0 million, before deducting underwriting discounts and commissions and estimated offering expenses payable by the Company. The Company has granted the underwriters a 30-day option to purchase up to an additional 1,500,000 shares of common stock at the initial public offering price, less the underwriting discounts and commissions.
