(b) On September 25, 2020, AmerInst Insurance Group, Ltd. (the “Company”) received notice from David Thompson, a director of the Company, that he will be resigning from the Company’s Board of Directors. His resignation is effective on October 30, 2020. Mr. Thompson’s decision to resign was not the result of any disagreement between Mr. Thompson and the Company that would require disclosure under Item 5.02(a) of Form 8-K.
