                                 INFORMATION TO BE INCLUDED IN THE REPORT

Item 1.01.
Entry into a Material Definitive Agreement.

           On September 29, 2020, Janel Corporation (the “Company”) entered into a Subscription Agreement (the “Subscription Agreement”) with Oaxaca Group LLC (the “Investor”) for the sale to the Investor of 650 shares of the Company’s Series C Cumulative Preferred Stock, par value $0.001 per share (the “Series C Preferred Stock”), at a purchase price of $500.00 per share, or an aggregate of $325,000.  Oaxaca Group LLC beneficially owns 49.81% of the Company’s common stock.

           The Company issued the shares of Series C Preferred Stock on the same date.  Such shares were sold to an accredited investor in a private placement in reliance upon the exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933 and Regulation D promulgated thereunder.  The Company will use the proceeds from the sale for working capital and general corporate purposes.
