Item 3.02
Unregistered Sales of Equity Securities.

On September 29, 2020, Hancock Park Corporate Income, Inc., a Maryland corporation (the “Company”), sold 3,814 shares of its common stock, par value $0.001 per share (“Common Stock”), for gross proceeds of $50,000, or a weighted average price of $13.11 per share, to investors who participated in the Company’s private placement and each of whom met the criteria of an “accredited investor” as defined in Rule 501 of Regulation D under the Securities Act of 1933, as amended (the “Securities Act”).

The offer and sale of the Company’s Common Stock in the private placement was exempt from the registration requirements of the Securities Act pursuant to Section 4(a)(2) of, and Rule 506 of Regulation D under, the Securities Act. The Company paid $1,500 in commissions in connection with the sale of the shares.
