Item 1.03    Bankruptcy or Receivership.

    On September 30, 2020 (the “Petition Date”), Lonestar Resources US Inc., a Delaware corporation (the “Company” or “we”), and certain of its direct and indirect wholly-owned subsidiaries (collectively with the Company, the “Debtors”), filed voluntary petitions for relief (collectively, the “Petitions” and, the cases commenced thereby, the “Cases”) under chapter 11 of title 11 of the United States Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the Southern District of Texas (Houston) (the “Bankruptcy Court”). In addition to the Petitions, the Debtors have filed, among other things, a motion with the Bankruptcy Court seeking to jointly administer the Cases under the caption “In re: Lonestar Resources US Inc., et al.

    The Debtors also filed with the Bankruptcy Court a prepackaged chapter 11 plan of reorganization (the “Plan”), as contemplated by that certain Restructuring Support Agreement, dated as of September 14, 2020 among the Debtors and certain lenders or holders of the Debtor’s Debt Instruments (as defined below) party thereto. The Debtors will continue to operate their businesses as “debtors-in-possession” under the jurisdiction of the Bankruptcy Court and in accordance with the applicable provisions of the Bankruptcy Code and orders of the Bankruptcy Court.

    The Cases were filed in order to effectuate the Debtors’ Plan. Copies of the Plan and further information about the Cases can be found at https://cases.primeclerk.com/lonestar.

Item 2.04    Triggering Events That Accelerate or Increase a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.

    The filing of the Cases described above in Item 1.03 constitutes an event of default under the following debt instruments (the “Debt Instruments”). Any efforts to enforce such payment obligations under the Debt Instruments are automatically stayed as a result of the filing of the Petitions and the holders’ rights of enforcement in respect of the Debt Instruments are subject to the applicable provisions of the Bankruptcy Code.
Credit Agreement, dated July 28, 2015, among Lonestar Resources America Inc., as borrower, Citibank, N.A., as Administrative Agent, and the lenders party thereto from time to time (as amended, restated, supplemented, replaced or otherwise modified from time to time).
Indenture, dated as of January 4, 2018, by and among Lonestar Resources America Inc., the guarantors from time to time party thereto and UMB Bank, N.A., a national banking association, in its capacity as trustee (as amended, supplemented or otherwise modified from time to time).
