Item 1.01. Entry into a Material Definitive Agreement.

 

On September 25, 2020, First Choice Bancorp (the “Company”) entered into an Indemnification Agreement with each of Lynn McKenzie-Tallerico, a Board member, Diana Hanson, Chief Accounting Officer, Mag Wangsuwana, Chief Financial Officer – First Choice Bank, and Khoi D. Dang, General Counsel (collectively, the “Indemnitees”). The Indemnification Agreements clarify and supplement indemnification provisions already contained in the Company’s Bylaws and generally provide that the Company shall indemnify the Indemnitees to the fullest extent permitted by applicable law, subject to certain exceptions including regulatory prohibitions then applicable, against expenses, judgments, fines and other amounts actually and reasonably incurred in connection with their service as a director or officer and also provide for rights to advancement of expenses and contribution. The other members of the Company’s Board and of the Board of Directors of the Company’s wholly-owned subsidiary, First Choice Bank, as well as the other executive officers of each of the Company and First Choice Bank have previously entered into Indemnification Agreements.

 

The description of the Indemnification Agreements set forth in this Item 1.01 is not complete and is qualified in its entirety by reference to the full text of the form of Indemnification Agreement between the Company and each of the Indemnitees which was filed as Exhibit 10.7 to the Company’s Registration Statement on Form S-4, as filed with the Securities Exchange Commission on April 4, 2018.
