Item 8.01 Other Events
On September 29, 2020, the Company issued the press release attached hereto as Exhibit 99.1 regarding the record and meeting dates of its special meeting concerning the sale of the Company’s assets.

In connection with the proposed transaction, the Company has filed relevant materials with the Securities and Exchange Commission (the “SEC”), including a preliminary proxy statement on Schedule 14A. Following the filing of the definitive proxy statement with the SEC, the Company will mail the definitive proxy statement and a proxy card to each stockholder entitled to vote at the special meeting related to the proposed transaction.
