Item 1.01. Entry into a Material Definitive Agreement.

On September 29, 2020, OCSI Senior Funding Ltd., a wholly owned subsidiary of Oaktree Strategic Income Corporation (the “Company”), entered into an amendment (the “DB Credit Facility Amendment”) to the documents governing Funding’s loan financing and servicing agreement (as amended, the “Deutsche Bank Facility”) with the Company, as equityholder and servicer, the lenders from time to time parties thereto, Deutsche Bank AG, New York Branch, as facility agent, and the other agents parties thereto and Wells Fargo Bank, National Association, as collateral agent and collateral custodian.

The DB Credit Facility Amendment, among other things, (a) extends the reinvestment period by one year to September 30, 2021, (b) decreases the size of the Deutsche Bank Facility from $200 million to $160 million, (c) modifies the interest rate to a rate equal to three-month LIBOR plus 2.65%, (d) extends to January 3, 2021, the waiver period during which the facility agent is restricted from revaluing certain collateral obligations where the change in valuation is caused by or results from a business disruption due primarily to the COVID-19 pandemic (subject to the Company’s ability to earlier terminate such period in certain circumstances) and (e) increases the minimum utilization percentage to 80%. The other material terms of the Deutsche Bank Facility were unchanged.

The description above is only a summary of the material provisions of the DB Credit Facility Amendment and is qualified in its entirety by reference to the DB Credit Facility Amendment, which will be filed as an exhibit to the Company’s Annual Report on Form 10-K for the year ending September 30, 2020.

Item 1.02. Termination of a Material Definitive Agreement.

On September 30, 2020, the Company repaid all amounts outstanding under its $25 million senior secured revolving credit facility with East West Bank, following which the facility was terminated.
