Item 1.01. Entry into a Material Definitive Agreement.

 

On September 21, 2020, Loop Industries, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Roth Capital Partners, LLC, as underwriter (the “Underwriter”), relating to the sale and issuance of an aggregate of 1,880,000 shares (the “Shares”) of the Company’s common stock, par value $0.0001 per share (the “Common Stock”). The offering price to the public of the Shares is $12.75 per share, and the Underwriters have agreed to purchase the Shares from the Company pursuant to the Underwriting Agreement at a price of $12.1125 per share. Under the terms of the Underwriting Agreement, the Company also granted the Underwriters an option, exercisable for 30 days, to purchase up to an additional 282,000 shares of Common Stock at the same price per share as the Shares.

 

The Company estimates that the net proceeds from the offering will be approximately $22,580,500 million or approximately $25,996,225 million if the Underwriters’ option to purchase additional shares is exercised in full.

 

The Underwriting Agreement contains customary representations, warranties and agreements by the Company, customary conditions to closing, indemnification obligations of the Company and the Underwriters, including for liabilities under the Securities Act of 1933, as amended, other obligations of the parties and termination provisions. The representations, warranties and covenants contained in the Underwriting Agreement were made only for purposes of such agreement and as of specific dates, were solely for the benefit of the parties to such agreement, and may be subject to limitations agreed upon by such parties.

 

The Shares will be issued pursuant to the Company’s shelf registration statement on Form S-3 (File No. 333-226789). A prospectus supplement relating to the offering will be filed with the SEC. The offering is expected to close on September 23, 2020, subject to the satisfaction of customary closing conditions.
