Item 8.01

Other Events.

On September 8, 2020, The AZEK Company Inc., a Delaware corporation (the “Company”), issued a press release announcing that certain of its stockholders intend to offer an aggregate of 25,000,000 shares of the Company’s Class A common stock, par value $0.001 per share (the “Common Stock”), in an underwritten public offering. The Company also announced that such stockholders intend to grant the underwriters a 30-day option to purchase up to an additional 3,750,000 shares of Common Stock.

A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
