Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 16, 2020, the Board resolved to reallocate a Class I director to Class II. Accordingly, on August 16, 2020, Joan Stafslien, previously a Class I director, was appointed as a Class II director.
