Item 8.01                       Other Events

 

On August 7, 2020, the United States District Court for the District of Delaware (the “Court”) entered an order preliminarily approving a derivative settlement and providing for notice of the settlement to stockholders of Lannett Company, Inc. (the “Company”) in the matter captioned In Re: Lannett Company, Inc. Derivative Litigation, Civil Action No. 1:19-cv-00888-MN (D. Del.). The proposed settlement is subject to final approval by the Court. A settlement hearing is scheduled for October 7, 2020. As required by the order, the Notice of Proposed Settlement and Dismissal With Prejudice of Derivative Action (the “Notice”) and the Stipulation of Settlement, dated May 22, 2020 (the “Stipulation”) are attached to this Current Report on Form 8-K as Exhibits 99.1, and 99.2, respectively. The Notice and the Stipulation are also available on the Company’s website at https://lannett.investorroom.com/derivative-litigation-settlement. Other information contained in or accessible through the Company’s website does not constitute part of, and is not incorporated into, this Form 8-K.
