Item 2.02. Results of Operations and Financial Condition.
On August 6, 2020, Jones Soda Co. (the “Company”) issued a press release announcing its financial results for the quarter ended June 30, 2020. The press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K. The Company will discuss its results for the quarter ended June 30, 2020 on its scheduled conference call today, August 6, 2020, at 4:30 p.m. Eastern time (1:30 p.m. Pacific time). Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective August 1, 2020, the Company’s Board of Directors approved an amendment of the previously disclosed consulting agreement between the Company and Jamie Colbourne, as amended, to extend the term of such agreement through December 31, 2020, and to reduce the monthly payments from $25,000 per month to $10,000 per month effective September 1, 2020. All other terms of the consulting agreement remain unchanged.
