Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 17, 2020, Kenneth E. Rees notified Elevate Credit, Inc. (the “Company”) of his decision to resign from the board of directors of the Company, effective immediately. Mr. Rees’ resignation is not the result of any disagreement with the Company on any matters related to its operations, policies or practices.

Elevate would like to thank Mr. Rees for his years of service, and we wish him the best on his future endeavors.
