Item 8.01 Other Events.
On June 30, 2020, Community First Bancshares, Inc. (the “Company”) entered into a loan agreement whereby it borrowed $5.0 million from
another financial institution. The loan is secured by the stock of the Company’s wholly-owned subsidiary, Newton Federal Bank. The loan has a ten-year term with a floating interest rate equal to the Wall Street Journal Prime Rate. The initial
interest payment is due September 30, 2020 and the initial principal payment is due June 29, 2021. There is no prepayment penalty.
The proceeds from the loan have been contributed to Newton Federal Bank, and qualify as Tier 1 capital at Newton Federal Bank.
