Item 1.01 Entry into a Material Definitive Agreement.

 

On June 8, 2020, YayYo, Inc. (the “Company”) issued and sold 1,000,000 shares of the Company’s restricted common stock to a private investor who is an “accredited investor” as defined in Rule 501 under the Securities Act of 1933, as amended (the “Securities Act”), at a purchase price of $0.15 per share in exchange for gross proceeds of $150,000. The Company will use the proceeds of this sale for general working capital purposes. This sale was exempt from registration under Section 4(a)(2) of the Securities Act and/or Rule 506 of Regulation D thereunder as not involving any public offering.
