Item 8.01 Other Events.

 

On June 15, 2020, Act II Global Acquisition Corp. (“Act II”) issued a press release announcing that it intends to convene and then adjourn, without conducting any other business, the extraordinary general meeting of the shareholders of Act II (the “Shareholders Meeting”) and the special meeting of the public warrant holders of Act II (the “Warrant Holders Meeting”), scheduled to occur on Monday, June 15, 2020, until Wednesday, June 24, 2020, at 3:30 p.m. EDT and 3:00 p.m. EDT, respectively. The adjournment is intended to allow Act II more time to solicit additional proxies from its shareholders and public warrant holders.

 

A copy of the press release announcing the intention to adjourn is furnished as Exhibit 99.1 and incorporated by reference herein.
