Item 1.01 | Entry into a Material Definitive Agreement. |
On June 1, 2020, Kaleido Biosciences, Inc., a Delaware corporation (the Company), entered into an Underwriting Agreement (the Underwriting Agreement) with Morgan Stanley & Co. LLC, as representative of the several underwriters listed therein (the Underwriters), in connection with its previously announced public offering (the Offering), pursuant to which the Underwriters agreed to purchase 4,750,000 shares (the Shares) of the Companys common stock, $0.001 par value per share (the Common Stock), at a price of $7.50 per share, less underwriting discounts and commissions.
Pursuant to the terms of the Underwriting Agreement, the Company also granted the Underwriters an option exercisable for 30 days to purchase up to an additional 712,500 shares of Common Stock at the same price per share as the Shares, less underwriting discounts and commissions. The Offering closed on June 4, 2020 and the Company received net proceeds from the sale of the Shares, after deducting underwriting discounts and commissions and other estimated offering expenses payable by the Company, of approximately $33.1 million.
The Company intends to use the net proceeds from this offering (i) to fund the Companys continued research and development activities, including the ongoing clinical program of KB109 in patients with mild-to-moderate COVID-19, the ongoing Phase 2 clinical trial of KB195 in patients with urea cycle disorders, and the planned clinical study of KB295 in patients with mild-to-moderate ulcerative colitis, (ii) to fund any other research and development activities that relate to the Companys current and future clinical and preclinical activities, and (iii) the remainder for planned general and administrative expenses, working capital and other general corporate purposes.
The Underwriting Agreement includes customary representations, warranties and covenants by the Company and customary conditions to closing, obligations of the parties and termination provisions. Additionally, under the terms of the Underwriting Agreement, the Company has agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act of 1933, as amended, or to contribute to payments the Underwriters may be required to make in respect of these liabilities.
Pursuant to the Underwriting Agreement, the Company, its directors and officers and certain of its stockholders have agreed not to sell or otherwise dispose of any common stock held by us or them for a period ending 90 days after the date of the Underwriting Agreement without first obtaining the written consent of the representative of the underwriters, subject to certain exceptions.
The Offering was made pursuant to the Companys effective shelf registration statement on Form S-3 (File No. 333-236804), including the prospectus dated March 10, 2020, as supplemented by a prospectus supplement dated June 1, 2020.
The Underwriting Agreement is attached hereto as an exhibit to provide interested persons with information regarding its terms, but is not intended to provide any other factual information about the Company. The representations, warranties and covenants contained in the Underwriting Agreement were made only for purposes of the Underwriting Agreement as of specific dates indicated therein, were solely for the benefit of the parties to the
agreement, and may be subject to limitations agreed upon by the parties, including being qualified by confidential disclosures exchanged between the parties in connection with the execution of the Underwriting Agreement.
