Item 8.01.
Other Events.
On June 2, 2020, Evofem Biosciences, Inc. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Morgan Stanley & Co. LLC and Piper Sandler & Co., as representatives of the several underwriters (collectively, the “Underwriters”), pursuant to which the Company agreed to issue and sell 28,500,000 shares of its common stock, as well as up to 4,275,000 additional shares of its common stock (collectively, the “Shares”) that may be purchased by the Underwriters pursuant to a 30 day option granted to the Underwriters by the Company (the “Offering”). All Shares will be offered and sold in the Offering at the public offering price of $3.50 per share and will be purchased by the Underwriters from the Company at a price of $3.2725 per share. The net proceeds from the Offering, after deducting the Underwriters’ discount and other estimated offering expenses payable by the Company, are expected to be approximately $92.8 million (or approximately $106.8 million if the Underwriters exercise their option to purchase additional Shares in full).
Any Shares offered and sold in the Offering will be issued pursuant to the Company’s registration statement on Form S-3 filed with the Securities and Exchange Commission (the “SEC”) on November 18, 2019 and declared effective on December 2, 2019 (the “Registration Statement”), as supplemented by the prospectus supplement dated June 2, 2020 relating to the Offering and filed with the SEC on June 2, 2020 and a final prospectus supplement dated June 2, 2020.
The Underwriting Agreement contains customary representations, warranties and covenants by the Company, customary indemnification obligations of the Company and the Underwriters and other obligations of the parties and termination provisions. The representations, warranties and covenants contained in the Underwriting Agreement were made only for purposes of the Underwriting Agreement and as of specific dates, were solely for the benefit of the parties to the Underwriting Agreement, and may be subject to limitations agreed upon by the contracting parties, including being qualified by confidential disclosures exchanged between the parties in connection with the execution of the Underwriting Agreement.
The Underwriting Agreement is filed as Exhibit 1.1 hereto, and the description of the terms of the Underwriting Agreement is qualified in its entirety by reference to such exhibit. The opinion of the Company's counsel regarding the validity of the Shares is filed as Exhibit 5.1 hereto.
