Item 1.01 Entry into a Material Definitive Agreement.

On May 14, 2020, Cardiff Oncology, Inc (the “Company”) entered into a Securities Purchase Agreement (the “Purchase Agreement”) with certain of its directors and CEO pursuant to which it sold 146,854 shares of Common Stock at a purchase price of $1.43 per share for gross proceeds of $210,000.

The foregoing description of the SPA is not complete and is qualified in its entirety by reference to the full text of the SPA, a copy of which is filed as Exhibit 10.1, to this Current Report on Form 8-K and is incorporated herein by reference.

Item 3.02 Unregistered Sale of Equity Securities.

        The issuance of the securities described in item 1.01 was deemed to be exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), by virtue of Section 4(a)(2) and Rule 506 promulgated thereunder.

Item 8.01 Other Events.
 
        On May 19, 2020, the Company issued a press release announcing it has entered into a securities purchase agreement with its Board of Directors and its Chief Executive Officer pursuant to which it sold 594,615 shares of Common Stock for gross proceeds of $810,000. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.
