INFORMATION TO BE INCLUDED IN THE REPORT

Item 1.01.
Entry into a Material Definitive Agreement.

On April 19, 2020, Janel Corporation (“Janel”) entered into a Loan Agreement (the “Loan Agreement”) with Santander Bank, N.A. (“Santander”) and executed a U.S. Small Business Administration Note (the “Note”) pursuant to which Janel borrowed $2,725,893 (the “Loan”) from Santander pursuant to the Paycheck Protection Program under the Coronavirus Aid, Relief, and Economic Security Act, Section 7(a)(36) of the Small Business Act (the “Act”).

The Loan matures on April 19, 2022 and bears interest at a rate of 1.00% per annum, payable monthly commencing on November 19, 2020. The Note may be prepaid by Janel at any time prior to maturity with no prepayment penalties. Funds from the Loan may only be used for payroll costs, costs used to continue group health care benefits, mortgage payments, rent and utilities (“Qualifying Expenses”).  Under the terms of the Paycheck Protection Program, certain amounts of the Loan may be forgiven if they are used for qualifying expenses as described in the Act.
