Item 2.02.

Results of Operations and Financial Condition.

On April 14, 2020, Ultra Petroleum Corp. (the “Company”) issued a press release reporting the Company’s financial and operating results for the quarter and year ended December 31, 2019. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Regulation FD Disclosure.

On April 14, 2020, the Company issued a press release, announcing, among other things, fourth quarter and full year 2019 results, proved reserves as of year-end December 31, 2019, and as of March 31, 2020, and the issuance of a qualified opinion by the Company’s independent registered public accounting firm about the Company’s ability to continue as a going concern. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
