Item 1.01Entry into a Material Definitive Agreement.

 

On April 8, 2020, IPALCO Enterprises, Inc. (the “Company”) entered into a purchase agreement (the “Purchase Agreement”) with BofA Securities, Inc. and J.P. Morgan Securities LLC, as representatives of the several initial purchasers named therein (the “Initial Purchasers”), relating to the sale by the Company of $475 million aggregate principal amount of senior secured notes (the “Notes”) at an annual interest rate of 4.250%. The Company intends to use the net proceeds from the Notes to finance its repurchase or redemption of its outstanding 3.45% Senior Secured Notes due 2020, of which $405 million is currently outstanding, to repay in full the indebtedness outstanding under its term loan, of which $65 million is currently outstanding, and to pay related fees and expenses. Any remaining net proceeds will be used for general corporate purposes.

 

The Notes will be secured through a pledge by the Company of all the outstanding common stock of its principal subsidiary, Indianapolis Power & Light Company. The Notes will effectively rank junior to the liabilities of the Company’s subsidiaries. The Purchase Agreement contains customary representations, warranties and covenants by the Company together with customary closing conditions. Under the terms of the Purchase Agreement, the Company has agreed to indemnify the Initial Purchasers against certain liabilities. The offering of the Notes is expected to close on or about April 14, 2020, in accordance with the terms of the Purchase Agreement.

On April 9, 2020, the Company issued a press release to announce the pricing of the Notes. A copy of the press release is attached hereto as Exhibit 99.1.
