Item 2.03 Creation of a Direct Financial Obligation

 

On March 27, 2020, H-Cyte, Inc. (the “Company”) issued a demand note (the “Note”) in the principal amount of $500,000 to FWHC Bridge, LLC. (the “Investor”) in exchange for a loan in such amount. The Note bears simple interest at a rate of 8% per annum. The Investor is an affiliate of a pre-existing shareholder of the Company having been the lead investor in the Company’s recent Series D Preferred Stock Offering.

 

The description of the Note is qualified in its entirety by reference to the Note attached as Exhibit 4.1 to this Current Report on Form 8-k which is incorporated in its entirety in this Current Report on Form 8-k.
