Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 24, 2020, Tim T. Esaki delivered his notice of resignation as Chief Financial Officer of the Company, which resignation will be effective on March 31, 2020. Mr. Esaki’s resignation is for personal reasons and not the result of any disagreement on any matter relating to the Company’s operations, practices or policies.
