Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Independent Director Compensation
On March 19, 2020, due to the current novel coronavirus (COVID-19) situation, the board of directors of Carter Validus Mission Critical REIT II, Inc. revised the meeting fees to be paid to each independent director to include regularly scheduled quarterly meetings that are required to be held telephonically. Therefore, each independent director will receive $2,500 for each regularly scheduled quarterly meeting the director attends (whether the meeting is in person or telephonic).
