Management’s Report on Assessment of

Compliance with SEC Regulation AB Servicing Criteria

 

Mechanics Bank (the “Asserting Party”) is responsible for assessing compliance as of and for the year ended December 31, 2019 (the “Reporting Period”) with the servicing criteria set forth in Title 17, Section 229.1122(d) of the Code of Federal Regulations (the “CFR”), except for the criteria set forth in Appendix A which the Asserting Party has concluded are not applicable to the servicing of the California Republic Auto Receivables Trust asset-backed securitization transactions backed by auto receivables and serviced by the Asserting Party (the “Applicable Servicing Criteria”).

The Asserting Party has assessed its compliance with the Applicable Servicing Criteria for the Reporting Period and based on such assessment the Asserting Party has complied, in all material respects, with the applicable Servicing Criteria for the securitization transactions backed by auto receivables serviced by the Asserting Party as set forth in Appendix B.

Crowe LLP, an independent registered public accounting firm, has issued an attestation report on the assessment of the compliance with the Applicable Servicing Criteria as set forth in this assertion.

Specifically, such reports (A) are prepared in accordance with timeframes and other terms set forth in the transaction agreements; (B) provide information calculated in accordance with the terms specified in the transaction agreements; (C) are filed with the Commission as required by its rules and regulations; and (D) agree with investors’ or the trustee’s records as to the total unpaid principal balance and number of pool assets serviced by the Servicer.
