Item 7.01. Regulation FD Disclosure.
On March 20, 2020, Prospect Capital Corporation (the “Company”) expects to settle the repurchase of $38.511 million of the 4.750% convertible notes that mature on April 15, 2020 at a price of $100.48, including commissions.

The information disclosed under this Item 7.01 is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 and shall not be deemed incorporated by reference into any filing made under the Securities Act of 1933, except as expressly set forth by specific reference in such filing.

Item 8.01. Other Events.
On March 20, 2020, the Company announced that it has commenced a tender offer to purchase for cash any and all of the $234,442,575 aggregate principal amount outstanding of the Company’s 6.25% notes due 2024. The tender offer is being made exclusively pursuant to an offer to purchase dated March 20, 2020 and related notice of guaranteed delivery, which set forth the terms and conditions of the tender offer
