FSK II Completes Offering of $475,000,000 4.250% Notes Due 2025

PHILADELPHIA AND NEW YORK 2020 – February 14, 2020 – FS KKR Capital Corp. II (“FSK II”) today announced that it has completed its previously announced offering of $475,000,000 in aggregate principal amount of its 4.250% unsecured notes due 2025 (the “Notes”). Goldman Sachs & Co. LLC, Deutsche Bank Securities Inc., BMO Capital Markets Corp., ING Financial Markets LLC, SMBC Nikko Securities America, Inc., HSBC Securities (USA) Inc. and KKR Capital Markets LLC acted as bookrunners.

FSK II expects to use the net proceeds of this offering to repay outstanding indebtedness under its senior secured revolving credit facility.

This announcement does not constitute an offer to sell or a solicitation of an offer to buy any of the Notes, nor shall there be any offer, solicitation or sale in any state or jurisdiction in which such an offer, solicitation or sale would be unlawful.

The Notes were offered to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act.
