CURRENT REPORT

The purpose of this report is to provide our Shareholders with
full transparancy.  Access-Power, Inc. has provided the following
letter for our Shareholders and the SEC to review.

Dear Shareholders of Access-Power, Inc.

It is my responsibility to report that the Company has entered into
negotiations to enter into JV (Joint Venture) with another publicly
traded company.  We are in the first and initial stages of
negotiations.

No assurance can be made that any deal will be made.  If a merger deal
can be done, I assure my Shareholders that there will be no dilution
to your current stake in the Company.
