Item 7.01.

REGULATION FD DISCLOSURE

 

 

 

As previously disclosed in the Company’s Current Report on Form 8-K, as filed with the Securities and Exchange Commission on February 6, 2020, Northwest Pipe Company (the “Company”) and Geneva Pipe Company, Inc., a Utah corporation (“Geneva”) entered into an Agreement and Plan of Merger (the “Merger Agreement”), pursuant to which on January 31, 2020, Hatch Acquisition Corporation, a wholly-owned subsidiary of the Company, was merged with and into Geneva, with Geneva surviving as a wholly-owned subsidiary of the Company (the “Merger”).

 

The Company will discuss the Merger and certain preliminary 2019 financial metrics in a conference call to be held on Friday, February 7, 2020 at 7:00 a.m. PST. The presentation made available in connection with the conference call is attached hereto as Exhibit 99.1 and is incorporated by reference herein. To listen to the live call, visit the Northwest Pipe Company website, www.nwpipe.com, under Investor Relations.
