Item 2.02 Results of Operations and Financial Condition.

On February 6, 2020, Ocwen Financial Corporation (“Ocwen” or the “Company”) issued a press release containing certain information relating to its fourth quarter 2019 financial performance. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

This Current Report on Form 8-K contains certain estimates relating to our fourth quarter and full year 2019 financial performance. These estimates are preliminary and may change. Our governance over the financial closing procedures for the period ended December 31, 2019 is not yet complete.
