Item 1.01.

Entry into a Material Definitive Agreement.

On February 5, 2020, the board of directors (the “Board”) of BC Partners Lending Corporation (the “Company”) amended the Dividend Reinvestment Plan (the “Plan”) to allow for the issuance of fractional shares to participants in the Plan in connection with each distribution or cash dividend declared by the Board. The Plan is effective February 5, 2020.

The foregoing description does not purport to be complete and is qualified in its entirety by reference to the Plan, attached hereto as Exhibit 10.1 and incorporated by reference herein.

 

Item 7.01.

Regulation FD Disclosure.

On February 5, 2020, the Board declared a quarterly dividend of $0.31 per share for Company stockholders of record as of February 18, 2020, payable on March 19, 2020.

The information disclosed under this Item 7.01 is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 and shall not be deemed incorporated by reference into any filing made under the Securities Act of 1933, except as expressly set forth by specific reference in such filing.
