Submission of Matters to a Vote of Security Holders.

(d)    At the Annual Meeting of Stockholders of WVS Financial Corp. (the “Corporation”) held on October 29, 2019, the Corporation’s stockholders recommended, on an advisory basis, that the Corporation’s future proposals to adopt a non-binding resolution to approve the compensation of the Corporation’s named executive officers should be considered every three years. Consistent with the stockholders’ recommendation, the Board of Directors of the Corporation determined that it will submit a proposal to stockholders to adopt a non-binding resolution to approve the compensation of the Corporation’s named executive officers every three years.
