Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On January 14, 2020, Samuel Uhl, a member of the Board of Directors (the “Board”) of First Capital, Inc. (the “Company”) notified the Company of his intention to retire from the Board, effective upon the conclusion of the January 21, 2020 Board meeting. Mr. Uhl’s term as a Class 2 director was set to end at the 2022 annual meeting of shareholders. Mr. Uhl did not advise the Company of any disagreement with the Company on any matter relating to its operations, policies or practices.
