Item 2.02  Results of Operations and Financial Condition.

 

On January 10, 2020, Braemar Hotels & Resorts Inc. (the “Company”) announced that no incentive fee was earned by its advisor, Ashford Hospitality Advisors LLC (the “advisor”), a wholly owned subsidiary of Ashford Inc., for 2019 under its Fifth Amended and Restated Advisory Agreement, dated as of April 23, 2018, (the “Advisory Agreement”), as amended.

 

Pursuant to the Advisory Agreement, the Company must pay the advisor an incentive fee that is measured annually. The annual incentive fee is calculated as (i) 5% of the amount (expressed as a percentage but in no event greater than 25%) by which the Company’s annual TSR exceeds the average TSR for the Company’s peer group, as specified in the Advisory Agreement, multiplied by (ii) the fully diluted equity value of the Company at December 31 of the applicable year, subject to the FCCR Condition, as defined in the Advisory Agreement, which relates to the ratio of adjusted EBITDA to fixed charges. To determine the fully diluted equity value, the Company will assume that all units in its operating partnership, including long-term incentive plan units that have achieved economic parity with the common units, if any, are redeemed for its common stock and that the per share value of each share of its common stock is equal to the closing price of its stock on the last trading day of the year. For purposes of this calculation, TSR means the sum, expressed as a percentage, of (i) the change in its common stock price during the applicable period, plus (ii) the dividend yield paid during the applicable period (determined by dividing dividends paid during the applicable period by the Company’s common stock price at the beginning of the applicable period and including the value of any dividends or distributions with respect to common stock not paid in cash valued in the reasonable discretion of the Company’s advisor).
