On December 24, 2019, Mirum Pharmaceuticals, Inc. (the Company) entered into a letter agreement with Michael Grey that amends that certain Amended and Restated Offer Letter by and between the Company and Michael Grey, dated May 15, 2019 (collectively, the Letter Agreement). Pursuant to the Letter Agreement and effective January 1, 2020, as part of a planned management transition, Mr. Grey resigned from his role as an executive officer of the Company in his capacity as Executive Chairman. Mr. Grey will remain a member of the Companys board of directors (the Board) and will serve as a non-employee director and Chairman of the Board. In this capacity, Mr. Grey will be entitled to the compensation provided in the Companys non-employee director compensation policy previously adopted and approved by the Board. In addition, upon the recommendation of the compensation committee of the Board, the Board approved a grant of an option to purchase 100,000 shares of the Companys common stock to Mr. Grey and an additional annual cash retainer of $65,000 in connection with such transition and his service as Chairman of the Board. The foregoing description of the Letter Agreement is qualified in its entirety by reference to the full text of the Letter Agreement, which is filed as Exhibit 10.1 hereto, and is incorporated herein by reference.
