Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 18, 2019, Michael O. Terjung, the Chief Financial Officer and Treasurer of Strategic Student & Senior Housing Trust, Inc. (the “Company”), resigned from such positions. Mr. Terjung’s decision to resign as Chief Financial Officer and Treasurer related to his duties as Chief Accounting Officer of SmartStop Self Storage REIT, Inc. and was not the result of any disagreement with the Company on any matter relating to the operations, policies, or practices of the Company or its management. On December 18, 2019, Michael A. Crear, currently the Company’s Vice President and Controller, was promoted to the positions of Chief Financial Officer and Treasurer of the Company.

 

Mr. Crear, age 37, served as the Vice President and Controller of the Company from July 2019 until December 2019. Mr. Crear’s responsibilities included implementing the Company’s accounting and financial management policies, along with involvement in the Company’s SEC and regulatory reporting. Mr. Crear is also the Vice President of Accounting of the Company’s sponsor assigned to the Company, a position he has held since January 2019.
