ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Appointment of James R. Durfey to Board of Directors
 
(d)The Board of Directors of Presidio Property Trust, Inc. ("Company") elected James R. Durfey as a director, effective December 11, 2019. Mr. Durfey shall serve until the Company’s 2020 annual meeting of stockholders or until his successor is duly elected and qualified. In addition, the Board of Directors appointed Mr. Durfey to serve as a member of the Compensation Committee and as a member of the Nominating and Corporate Governance Committee. Mr. Durfey has been determined by the Board of Directors to satisfy the independence requirements of applicable Securities and Exchange Commission (“SEC”) rules.

Mr. Durfey retired in 2017 from American Assets Trust, Inc. (NYSE: AAT), a publicly traded REIT, where he served as Vice President, Office Properties, since 2004. During his tenure at AAT, Mr. Durfey supervised property management and leasing of 2.7 million square feet of Class A office space, assisted in the acquisition and/or development of Class A office buildings, and worked with AAT’s board of directors in developing corporate investment strategies. From 1996 to 2004, Mr. Durfey was Vice President of Trammell Crow Company and General Manager of the Century Plaza Towers and the ABC Entertainment Center, a four building complex, which contains over 2.8 million square feet. From 1980 to 1996, Mr. Durfey held various senior roles at Homart Development Company, which was the commercial real estate subsidiary of Sears, Roebuck and Company. Mr. Durfey received a Bachelor of Science degree in Business Management from Indiana University and is a licensed real estate broker in California.

In connection with his service as a director, Mr. Durfey will receive the Company’s standard non-employee director cash and equity compensation, which is described in the Company’s definitive proxy statement on Schedule 14A filed with the SEC on April 10, 2019.
