Item 1.01
Entry into a Material Definitive Agreement.


On January 31, 2019, World of Jeans & Tops, a California corporation and a wholly owned subsidiary of Tilly’s, Inc., a Delaware corporation (the “Company”), entered into Amendment No. 6 (the “Amendment”) to the Amended and Restated Credit Agreement (as amended, the “Agreement”), dated as of May 3, 2012, with Wells Fargo Bank, National Association. The Amendment allows for the declaration and payment of dividends or distributions to stockholders within specified limits, including a special, one-time, cash dividend of up to $30.0 million on or before April 29, 2019.

The foregoing summary does not purport to be complete and is qualified in its entirety by reference to the Amendment, a copy of which is attached hereto as Exhibit 10.1, and is incorporated herein by reference.

Other Events.


On February 1, 2019, the Company issued a press release announcing a one-time special cash dividend of $1.00 per share to be paid on February 27, 2019, to all holders of record of issued and outstanding shares Class A common stock and Class B Common stock as of the close of business on February 15, 2019.
