On January 29, 2019, Select Bank & Trust Company (the “Bank”), a wholly owned subsidiary of Select Bancorp, Inc. (the “Company”), entered into a Purchase and Assumption Agreement with City National Bank of West Virginia, a wholly owned subsidiary of City Holding Company, pursuant to which the Bank will assume the majority of deposits and acquire the equipment and other selected assets associated with City National Bank of West Virginia’s branch located at 621 Nevan Road, Virginia Beach, VA. A press release issued by the Company announcing the agreement is attached as Exhibit 99.1.
