Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)    On January 28, 2019, Thomas M. Herzog resigned from the Board of Directors (the “Board”) of TIER REIT, Inc. (the “Company”). Mr. Herzog confirmed to the Board that his resignation was not due to a disagreement with any other member of the Board, the Company or its management.

(d)    On January 28, 2019, the Board of the Company appointed Christie B. Kelly to fill the vacancy created by Mr. Herzog’s resignation. Ms. Kelly was not appointed pursuant to any arrangement or understanding between herself and any other person, and the Board determined that Ms. Kelly qualifies as an independent director pursuant to the rules of the New York Stock Exchange.

In connection with her appointment to the Board, Ms. Kelly was granted restricted stock units with a value of approximately $20,000 based on the closing stock price of the Company’s common stock as of January 28, 2019. Such restricted stock units vest 13 months after the grant date.

Ms. Kelly joins the Company’s Board with extensive real estate and REIT industry knowledge and experience. Ms. Kelly served as Executive Vice President and Chief Financial Officer of Jones Lang LaSalle Incorporated (NYSE: JLL), a publicly traded financial and professional services firm specializing in real estate, from July 2013 until October 2018. Prior to her tenure at JLL, Ms. Kelly served as Executive Vice President and Chief Financial Officer of Duke Realty Corporation (NYSE: DRE) from 2009 until June 2013. From 2007 until she joined Duke in 2009, Ms. Kelly served as Senior Vice President, Global Real Estate at Lehman Brothers, where she led real estate equity syndication in the United States and Canada. Prior to that, Ms. Kelly served at General Electric Company (NYSE: GE) from 1983 to 2007 in numerous finance and operational management positions in the United States, Europe and Asia that included responsibility for mergers and acquisitions, business transformation, internal audit and enterprise risk management. Ms. Kelly currently serves on the board of directors of Kite Realty Group Trust (NYSE: KRG) and Park Hotels & Resorts (NYSE: PK). She also serves as a Board member of the Chicago Shakespeare Theater, World Business Chicago and The Executives Club of Chicago. Previously, Ms. Kelly served on the boards of the National Bank of Indianapolis, Butler Business School and Park Tudor School. Ms. Kelly received her Bachelor of Arts degree in Economics from Bucknell University.
