Item 5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On January 22, 2019 we entered into a Separation Agreement with our Vice President-Marketing, Kristine Mechem in connection with the termination of her employment. Ms. Mechem had been on an unpaid sabbatical since June 2018. Pursuant to the Separation Agreement, in addition to paying the severance payments provided by her employment agreement, we agreed to amend the terms of Ms. Mechem’s vested stock options to extend the expiration date of the options for an additional nine months following the termination of her employment. Ms. Mechem has agreed to provide consulting services to us with respect to commercializing our liquid biopsy test for lung cancer DetermaVu™ and any other cancer diagnostic tests that we may develop.
