(the “Company”) in connection with its previously announced business combination (the “Business Combination”) with Strike Capital, LLC (“Strike”).

Item 8.01Other Events.

 

On January 22, 2019, the Company issued a press release announcing that the special meeting (the “Special Meeting”) to be held with respect to the Business Combination will be held on February 5, 2019. The Special Meeting is being held in lieu of the 2018 annual meeting of stockholders. The Company also announced that it has filed and mailed its definitive proxy statement for the Special Meeting to its stockholders of record as of January 14, 2019, the record date for the Special Meeting. A copy of the press release is filed as Exhibit 99.2 to this Current Report on Form 8-K and incorporated herein by reference.
