Item 8.01 Other Events

 

On January 16, 2019, the Board of Directors of Monmouth Real Estate Investment Corporation (the “Company”) authorized an increase to its previously announced common stock repurchase program (the “Program”) by an additional $40 million of the Company’s common stock, bringing the total available under the Program to $50 million. The timing, manner, price and amount of any repurchase will be determined by the Company in its discretion and will be subject to economic and market conditions, stock price, applicable legal requirements and other factors. To date, the Company has not repurchased any common stock pursuant to the Program and the Company may elect not to repurchase any common stock in the future. The Program may be suspended or discontinued at the Company’s discretion without prior notice. The Program has no termination date.
