Item 8.01 Other Events.

On January 15, 2019, Syniverse Holdings, Inc. (the “Company”) paid off and retired the remaining $41.7 million aggregate principal amount of its 9.125% Senior Notes due 2019 (the “Notes”) that matured on January 15, 2019. In connection with the repayment of the Notes, the Company has satisfied and discharged its obligations with respect to the Notes under the indenture, dated December 22, 2010, by and among the Company (as successor to Buccaneer Merger Sub, Inc.), the subsidiary guarantors from time to time party thereto and Wilmington Trust, National Association (as successor to Wilmington Trust, FSB), as trustee, governing the Notes.
