Compensation of Chief Executive Officer & Chief Financial Officer


On January 12, 2019, pursuant to approval of the Compensation Committee of the Board of Directors of Pro-Dex, Inc. (“Pro-Dex” or the “Company”) Richard L. Van Kirk, the Company’s Chief Executive Officer, had an increase in base salary from $225,000 to $305,000 per year and an annual car allowance in the amount of $10,000 retroactive to October 31, 2018 and Ms. Charlton, the Company’s Chief Financial Officer, had an increase in base salary from $185,000 to $205,000 per year retroactive to October 31, 2018. Mr. Van Kirk’s and Ms. Charlton’s employment with the Company continues on an at-will basis.


Mr. Van Kirk and Ms. Charlton may participate, on the same terms as other employees of the Company, in all health and welfare programs, life insurance and qualified retirement plans and other employee benefits which may be sponsored by the Company from time to time.
