Item 8.01 Other Events

On January 8, 2019, the Company announced in a press release that it entered into a Letter of Intent to purchase the assets of Advanced Technologies Management, Inc., d/b/a Pictographics. The parties will be commencing due diligence and all necessary and relevant definitive agreements will be prepared upon completion of the due diligence. There can be no assurances that definitive agreements will be entered into.
